Bosch Group Aquires Telex Communications

STUTTGART/MINNEAPOLIS – The Bosch Group announced today that it has signed a definitive agreement for the acquisition of Telex Communications Holding, Inc. through the merger of a wholly owned subsidiary of Robert Bosch GmbH into Telex. The merger agreement provides for an aggregate purchase price of US-$ 420 million, includes the assumption of Telex indebtedness, subject to certain post-closing adjustments, and also provides for the satisfaction and discharge of the publicly held indebtedness of Telex and its affiliates. The merger agreement has been approved by the Board of Directors of Telex and the Board of Management of Bosch, and has also been approved by the requisite percentage of Telex's voting stockholders.

MINNEAPOLIS, MN - Telex Communications Holdings, Inc., Minneapolis, MN, announced today that it has signed a definitive merger agreement with a wholly owned subsidiary of Robert Bosch GmbH, pursuant to which Bosch will acquire Telex for an aggregate purchase price of $420 million, including the assumption of Telex indebtedness, subject to certain post closing adjustments. The purchase price will represent per share merger consideration to stockholders equal to at least $24 per share of Telex common stock, subject to adjustments that, together with certain additional contingent payments over several years, could result in aggregate consideration to stockholders of $29 per share. The merger agreement also provides for the satisfaction and discharge of the publicly held indebtedness of Telex and its affiliated companies. Upon closing of the merger, the surviving companyÕs name will be Telex Communications Holdings, Inc., with headquarters remaining in Minneapolis, MN.

Now that wasn't so hard was it. My neutral is indead connected to the first hot leg in this three phase pannel. fortunately all of my Dynacord amplifiers survived with just two internal blown fuses. For the record you can use the amps with 220V if you configure it ahead of time. Any one know of a possible advantage to running the amps with 220V?

And by the way - to all of those who gave me the wrong answer - you are not allowed to tie my power in.

That must mean it's time for the second Music For A Sunday Evening In The Park (MUSEP) of the 2006 season. Once again the weather had the last word on tonight's performances. This one ended only 30 minutes into the David Fox Group's set. Let's hope this is not some sort of weird pattern.

Several of CareySound's own, both past and present, deserve a pat on the back.

John Carey and Tommy Martin just successfully completed a week long audio academy in Atlanta and were awarded certificates of completion. The academy was hosted by our friends at Vision 2 Marketing. Among the many industry leaders giving presentations was a personal friend of mine. The legendary Jim Long of Electro-Voice shared his many years of knowledge of audio and acoustical fundamentals.

We just ran into former CareySound general manager Sam Hamlin at Infocomm in Orlando and he told us he is getting married in the fall. Sam is now working over in Aggie Land at NCA&TSU.

And while I am on marriges, our friend Brandon Potter has just informed us of his impending nuptials in July. Brandon is the head audio production guru over at First Assembly of God in Winston-Salem.

I guess this old SoundMan is just going to have to break down and by a suit.

We ran into James Mintz last Sunday at MUSEP. He was there with his family. His dad plays with the Greensboro Big Band that was performing that evening. James was the second amazing intern to come to us from Greensboro Day School. He is studying music and we hope he keeps us in mind when he graduates.

And finaly I just got an email form another CareySound Alumni, Rick Earl, saying that he has just accepted a new job at Elon University as their new Technical Director for Cultural and Special Events. Rick was one of CareySounds finest head audio engineers.

The return of Music for a Sunday Evening in the Park (MUSEP) heralds the official start of summer in Greensboro once again. Even the rain last Sunday evening could not dampen the enthusiasm for the new season of free weekly concerts hosted in various parks thorough the city by the Music Center, City Arts of the Greensboro City Parks and Recreation Department.

A couple of years ago the city cut funding for the sumer series and the Community Foundation of Greater Greensboro took over the financial responsibilities allowing the over 20 year old program to continue. Considering the series to be a valuable community resource the Foundation combined it with another annual city concert series, The Barber Park Series, and expanded the experience by providing additional resources to allow adding a second performing group to most of the concert dates. This years MUSEP series now covers 17 Sundays with 25 different musical groups.

CareySound has been providing audio production for the event for most of its history and proudly continues that tradition again this year. The series presents a demanding audio challenge. Audience sizes vary between 2 to 8 thousand and ages range from toddles to retirees. The musical groups cover every thing from large 60 piece concert bands and symphony orchestras to jazz trios and folk. All of this diversity requires a great deal of flexability in an audio system. Three years ago we discovered the perfect audio solution in the Dynacord Cobra portable line array system.
